Case Synopsis & Summary
Sundaram Home Finance Ltd, a housing finance institution, had lent to E.R.Ramachandran Menon and his wife and created an equitable mortgage by deposit of title deed on 08.02.2018 to secure a loan of Rs.6.5 crore. When borrowers defaulted, proceedings under the SARFAESI Act were initiated and the secured assets were sold to Varghese Sebastian via Ext. P10 sale certificate. On verification, an attachment entered in Book No. 1 in respect of the property appeared, arising from I.A. No. 1173/2018 in O.S. No. 54/2018 before the Additional Sub Court, Ernakulam, as asserted by respondent No. 4. The Sub Registrar refused to register Ext. P10 due to the encumbrance and insisted on an ROR certificate. The petitioner approached the High Court seeking directions to erase the attachment from the encumbrance certificate, register the sale certificate without insisting on ROR, and mutate the property. The court, after hearing, relies on Madhan S. v. Sub Registrar, Kollam and Others and Keechery Service Co-operative Bank v. Sajitha Nizar, among others, to hold that attachments effected after the mortgage do not affect the sale under SARFAESI and directs the Sub Registrar to efface post-mortgage encumbrances from Book No. 1, not to insist on ROR, and to mutation of the property upon registration. The petition is disposed of with these directions.
Provisions of Law Cited
Legal Doctrines & Maxims
- Attachments after creation of an equitable mortgage do not affect the sale under the SARFAESI Act; sale is free of encumbrances.
- Sale under Ext. P5 sale certificate is free of all encumbrances; post-mortgage attachments do not affect title/ownership or the sale.
- Sub Registrar should efface subsequent encumbrances and not insist on ROR certificate; mutation should reflect the sale.
- Redemption rights of borrowers may be considered extinguished on sale under the SARFAESI proceedings.
Submissions & Arguments
Contentions of Appellants / Petitioners
The petitioner contends that the attachment created after the equitable mortgage cannot affect the sale under the SARFAESI Act; post-sale encumbrances should be erased from the encumbrance book and sale Certificate Ext. P10 registered, with mutation directed. It relies on Madhan S. v. Sub Registrar and Keechery Service Co-operative Bank cases as authority for erasing post-mortgage encumbrances and not insisting on ROR (Jacob P.C. v. Village Officer confirms no ROR requirement when document otherwise in order). The applicant asserts that the 5th respondent’s interest is extinguished and seeks deletion of R5.
Contentions of Respondents
The respondents justify the encumbrance and require ROR; Sub Registrar refused registration on the ground of attachment. They rely on procedural forms and the ongoing civil suit (O.S. 54/2018) and argue that the attachment affects title until resolved. They also emphasize preserving legitimate records and resist canceling encumbrances without proper orders. The 4th respondent’s counsel notes mediation and settlement of the related suit. Ultimately, the court’s directions override these objections by directing effacement of post-mortgage attachments and registration of Ext. P10.
