Case Synopsis & Summary

This is a Kerala High Court (OP(C) No. 304 of 2023) arising from Ext. P7 order dated 02.02.2023 in O.P.(Insolvency) No. 2/2011 before the Ist Additional Sub Court, Thiruvananthapuram. The two petitioners–petitioners/Additional Counter Petitioners are M/S Karimala Granites and Aggregates Pvt. Ltd. and M/S Kannamthananam and Company; they challenge the order on grounds of limited locus standi and denial of opportunity to lead evidence in Ext. P1 insolvency proceedings that included their properties in the schedule. The respondents/Counter Petitioners (1–10 and 13–91) include various creditors and associated entities who initiated or were involved in the insolvency process. The High Court, exercising its supervisory jurisdiction under Article 227, found that Ext. P7 denied the petitioners their right to lead evidence in Ext. P1 and set aside Ext. P7 to the limited extent, permitting the petitioners to present oral and documentary evidence on the next hearing. The judgment directs expeditious disposal of OP No. 2/2011 by 31 March 2023 and cites the principles laid down in PRS Hospital v. P. Anil Kumar for admissibility of documents. The court emphasizes fair adjudication in insolvency matters and safeguards the petitioners’ claims while allowing the lower court to proceed with the proceedings expeditiously.

Provisions of Law Cited

Section 9 of the Insolvency Act, 1956Article 227 of the Constitution of India

Legal Doctrines & Maxims

  • Bona fide purchaser for value
  • Locus standi (standing) - limited
  • Collusive suits (concept)

Submissions & Arguments

Contentions of Appellants / Petitioners

The applicants contend that Ext.P7 wrongly limited their locus to contest Ext.P1 and denied them a meaningful opportunity to adduce evidence. They assert bona fide purchaser claims prior to Ext.P1 and that the insolvency proceedings involve their properties; Ext.P3 judgment instructed expedited adjudication but Ext.P7 restricted evidence. They argue that they were wrongly kept out of the evidentiary process and that Ext.P2/Ext.P5 materials should be permissible. They rely on the court's power under Article 227 to ensure fair process, and seek permission to lead oral and documentary evidence in accordance with law, with cross-examination if required. They urge that the observations in Ext.P3 support their position and request the court to direct the lower court to allow their evidence as per PRS Hospital v. P. Anil Kumar.

Contentions of Respondents

The respondents contend Ext.P7 was correctly issued, denying the petitioners any standing to challenge Ext.P1 and that the matter falls within insolvency adjudication where creditors’ rights take precedence. They submit that petitioners are not creditors or debtors; hence, their locus is limited. They argue that Ext.P7’s procedure should not be disturbed, and the proper course is to adjudicate Ext.P1 in the insolvency petition with respect to those who have direct interest. They claim any cross-examination or evidence from petitioners would prejudice the insolvency proceedings and that the High Court should not overturn the lower court’s discretion without compelling grounds.

The respondents 1 to 9 in this original petition are the petitioners and respondents 10,13 to 91 are the other respondents before the court below. 2. The antecedent facts leading to Ext.P7 order, in a nut shell, are; the petitioners had purchased 1.8 Acres of property from the respondents 1 to 8 as per various sale deeds of the Sub Registry Office, Chalai, Thiruvananthapuram. The petitioners learnt that some of the so called creditors of the respondents 1 to ## **`OP(C) NO. 304 OF 2023 13`** 8 filed collusive suits so as to deprive the petitioners of their property. Later, certain strangers filed O.P. (Insolvency) No.2/2011 (Ext.P1), against the respondents 1 to 8, to adjudge them as insolvents. In Ext.P1 petition, the properties of the petitioners have been included in the schedule. The petitioner on sensing that the respondents were attempting to do something behind their back, got themselves impleaded in Ext.P1 petition. The petitioners filed Ext.P2 objection to Ext.P1 petition. Then, the respondents 1 to 8 got themselves deleted from Ext.P1 petition and respondents 13 to 81 got themselves impleaded as petitioners. Subsequently, the petitioners filed I.A. No.4204/2017, to get their properties deleted from the schedule in Ext.P1 petition. But, the court below held that the application will be considered with Ext.P1 petition. Aggrieved by the said order, the petitioners file O.P. (C)No.1443/2018 before this Court. By Ext.P3 ``` OP(C) NO. 304 OF 2023 14 ``` judgment, this Court directed Ext.P1 petition to be disposed of expeditiously. The petitioners filed I.A. No.16/2022 (Ext.P4) to adduce evidence and cross examine the witnesses. The application was opposed by some other respondents. The petitioners also produced certain documents along with Ext.P5 list of documents. The court below, by the impugned Ext.P7 order, has held that the petitioners have only limited locus standi to contest Ext.P1 petition. Ext.P7 is palpably wrong and erroneous. Hence, the original petition. 3. Heard; S. Sreedev, the learned counsel appearing for the petitioners, Sri.P.B.Krishnan, Sri. K.Shaj, Sri.C.A. Chacko and Sri. J.R.Prem Navaz, the learned counsel appearing for some of the respondents. 4. The question is, whether there is any illegality in Ext.P7 proceeding. 5. Ext.P1 petition was initially filed by seven ## **`OP(C) NO. 304 OF 2023 15`** persons to adjudge the respondents 1 to 9 as insolvents. 6. The specific case of the original petitioners in Ext.P1 petition is that respondents 1 to 9 had defrauded their creditors and alienated the properties in favour of relatives, strangers and creditors. 7. The petitioners claiming themselves to be bona fide purchasers for value and that Ext.P1 petition is a collusive affair between the respondents got themselves impleaded in the petition and, thereafter filed Ext.P2 objection. 8. Subsequently, the petitioners filed an application to get their properties deleted from the schedule in Ext.P1 petition. 9. The court below, by its order dated 15.03.2018, passed the following order. “Objection filed by 80th petitioner. Adjudication of O.P. (Ins) 2/2011 is not over yet. Considering the nature of the relief sought, I am of the view that it can be considered only after adjudication. Hence petition kept in abeyance till ## **`OP(C) NO. 304 OF 2023 16`** adjudication in O.P.(Ins)2/2011.” 10. Aggrieved by the order, the petitioners filed O.P. No.1443/2018 before this Court. By Ext.P3 judgment, this Court disposed of the original petition observing as follows:- “As far as the petitioner's claim is concerned, the respondents have raised an objection that, he being neither a creditor nor a debtor, has no say in the insolvency proceedings. **These are aspects which can be argued before the court below at the appropriate point of time.** The original Petition is hence disposed of, directing the First Additional Sub Judge, Thiruvananthapuram, to complete the adjudication process in O.P. (Insolvency) No.2 of 2021, as expeditiously as possible at any rate, within six months of receipt of a copy of this judgment.” 11. On a reading of the above extracted order passed by the court below, it undoubtedly shows that the court below has deferred the consideration of the application till a decision is taken on Ext.P1 petition. 12. This Court by Ext.P3 judgment has confirmed the above order and left it to wisdom of the court ``` OP(C) NO. 304 OF 2023 17 ``` below to decide the appropriate time the above question is to be decided. Thus, the said question has attained finality and cannot be reagitated. 13. Now, it is the case of the petitioners that they have produced certain documents along with Ext.P5 list to be accepted on record. But, the court below has held that the documents cannot be accepted as the petitioners have only a limited locus standi. 14. Sri.P.B. Krishnan, the learned counsel appearing for the 20[th] respondent argued that the court below had permitted the petitioners to cross examine the witnesses and let in evidence. However, for the reasons best known to the petitioners, as seen from the proceedings dated 20.01.2023, the petitioners chose not to let in oral evidence. It was on that basis, the court below posted the case for final hearing to 04.02.2023. If the petitioners desire to produce any document, it is upto them to seek leave of the court and produce the documents. ## **`OP(C) NO. 304 OF 2023 18`** 15. Rightly or wrongly the petitioners have been impleaded as additional respondents in Ext.P1 petition. 16. It is their case that they are the bona fide purchasers prior to the institution of Ext.P1 petition. On the contrary, the original petitioners in Ext.P1 petition have alleged that the properties of the respondents 1 to 9 were fraudulently transferred to the petitioners, to defraud the original petitioners. 17. Be that as it may, the above question is an issue to be decided in Ext.P1 petition, and the petitioners claim is to be decided as per the observations in Ext.P3 judgment. Thus, I am of the view that the petitioners have to be given a right to let in evidence and substantiate their claim in accordance with law, which will not cause any prejudice to the respondents. Moreover, a party to a proceeding cannot be denied an opportunity to prove their claim on the ground that they have limited locus ## **`OP(C) NO. 304 OF 2023 19`** standi as observed in Ext.P7 proceeding. Thus, I hold that Ext.P7 proceeding is liable to be set aside in exercise of the supervisory powers of this Court under Article 227 of the Constitution of India. In the result, I dispose of the original petition as follows:- (i) Ext.P7 proceeding dated 02.02.2023 passed in O.P.(Insolvency) No.2/2011 of the court below, to the limited extent of denying them an opportunity to let in evidence in Ext.P1 petition, is set aside. (ii) The court below shall permit the petitioners to let in oral and documentary evidence, in accordance with law, on the date of next hearing. Needless to mention if any documents are sought to be pressed into service, the same shall be accepted in evidence following the principles laid down by this Court in **PRS Hospital and another v. P. Anil Kumar** [2021 KHC 1]. (iii) The court below is directed to consider and ``` OP(C) NO. 304 OF 2023 20 ``` dispose of O.P.(Insolvency) No.2/2011, in accordance with law and as expeditiously as possible, at any rate on or before 31.03.2023. **SD/-** **C.S.DIAS, JUDGE** rmm06/02/2023 ## **`OP(C) NO. 304 OF 2023 21`** ## **`APPENDIX OF OP(C) 304/2023`** ## **`PETITIONER EXHIBITS`** ``` EXHIBIT P1 ``` ``` A TRUE COPY OF THE PETITION FILED UNDER SECTION 9 OF THE INSOLVENCY ACT, 1956, AS OP (INSOLVENCY) NO. 2/2011 BEFORE THE 1ST ADDITIONAL SUB COURT THIRUVANANTHAPURAM. ``` ``` EXHIBIT P2 ``` ``` A TRUE COPY OF THE OBJECTION FILED BY THE PETITIONERS' HEREIN IN OP (INSOLVENCY) NO. 2/2011 BEFORE THE ADDITIONAL SUB COURT THIRUVANANTHAPURAM. ``` ``` EXHIBIT P3 ``` ``` A TRUE COPY OF THE ORDER DATED 09.09.2021 IN OP (C) NO: 1443 OF 2018 ON THE FILES THIS HON'BLE COURT. ``` ``` EXHIBIT P4 ``` - **`A TRUE COPY OF THE AFFIDAVIT AND PETITION FILED AS I.A NO: 16/2022 IN OP (INSOLVENCY) NO. 2/2011 ON THE FILES OF THE 1ST ADDITIONAL SUB COURT THIRUVANANTHAPURAM.`** ``` EXHIBIT P5A TRUE COPY OF THE LIST OF DOCUMENTS PRODUCED BY THE PETITIONERS ALONG WITH MEMO IN OP (INSOLVENCY) NO. 2/2011 ON THE FILES OF THE 1ST ADDITIONAL SUB COURT THIRUVANANTHAPURAM ``` ``` EXHIBIT P6A TRUE COPY OF THE OBJECTION FILED BY THE POWER OF ATTORNEY HOLDER OF THE 3RD RESPONDENT TO EXT P5 ON THE FILES OF THE 1STADDITIONALSUBCOURT THIRUVANANTHAPURAM. ``` ``` EXHIBIT P7A TRUE COPY OF THE ORDER DATED 02.02.2023 IN OP (INSOLVENCY) NO. 2/2011 ON THE FILES OF THE 1ST ADDITIONAL SUB COURT THIRUVANANTHAPURAM AVAILABLE IN THE E- COURT SERVICES WEB SITE. ```
